Terms of Service

Summary: These Terms of Service ("Terms") govern your access to and use of the Azael Haward Academy learning platform, courses, and related services. By creating an account or using our services, you agree to be bound by these Terms. Please read them carefully.

1. Acceptance of Terms

By accessing or using the Azael Haward Academy platform ("Platform"), including our website at learn.azaelhaward.com, all associated subdomains, mobile applications, and related services (collectively, the "Services"), you agree to comply with and be bound by these Terms of Service.

If you do not agree to these Terms, you must not access or use the Services. We reserve the right to modify these Terms at any time. Material changes will be communicated via email or a prominent notice on the Platform. Your continued use of the Services after such changes constitutes your acceptance of the updated Terms.

2. Definitions

  • "Platform" refers to the Azael Haward Academy learning management system at learn.azaelhaward.com.
  • "Services" includes all courses, content, tools, features, and support provided through the Platform.
  • "User," "you," "your" refers to any individual who accesses or uses the Services.
  • "Student" refers to a User who has enrolled in one or more courses.
  • "Instructor" refers to Dr. Azael Haward Kyando and any authorised course creators.
  • "Content" refers to all course materials, including videos, text, images, quizzes, assignments, certificates, and downloadable resources.
  • "Account" refers to your registered user profile on the Platform.
  • "Course" refers to any individual masterclass, programme, or learning module offered on the Platform.
  • "Certificate" refers to the digital certificate of completion issued upon fulfilling course requirements.

3. Eligibility

To use the Services, you must:

  • Be at least 16 years of age, or the age of majority in your jurisdiction, whichever is greater.
  • Have the legal capacity to enter into a binding agreement.
  • Not be prohibited from using the Services under any applicable law.
  • Provide accurate, current, and complete registration information.

If you are using the Services on behalf of an organisation, you represent and warrant that you have the authority to bind that organisation to these Terms.

4. Account Registration and Security

4.1 Registration

To access certain features, you must create an Account. You agree to:

  • Provide truthful, accurate, and complete information during registration.
  • Maintain and promptly update your Account information to keep it accurate and current.
  • Maintain the security and confidentiality of your login credentials.
  • Accept responsibility for all activities that occur under your Account.
  • Notify us immediately at learn@azaelhaward.com if you suspect unauthorised access to your Account.

4.2 Account Restrictions

You must not:

  • Create more than one Account per person.
  • Share your Account credentials with any third party.
  • Use another User's Account without their express written permission.
  • Transfer, sell, or assign your Account to any other person or entity.

We reserve the right to suspend or terminate Accounts that violate these restrictions.

5. Courses and Enrolment

5.1 Course Availability

All courses are subject to availability. We reserve the right to modify, suspend, or discontinue any course at any time without prior notice. In the event a course you have enrolled in is discontinued, we will provide reasonable alternatives or a prorated refund in accordance with Section 8.

5.2 Enrolment

Enrolment in a course is completed upon successful registration, payment of the applicable course fee (unless the course is free), and acceptance of these Terms. Enrolment may be subject to additional course-specific requirements, such as prerequisite knowledge or cohort scheduling.

5.3 Cohort-Based Courses

Some courses operate on a cohort model with fixed start and end dates. By enrolling in a cohort-based course, you agree to the published schedule. Access to course materials may be limited to the cohort duration, and extensions are granted at our sole discretion.

5.4 Self-Paced Courses

Self-paced courses provide access to materials for a period of twelve (12) months from the date of enrolment, unless otherwise specified. Access may be extended upon request, subject to availability and applicable fees.

6. Course Content and Intellectual Property

6.1 Ownership

All Content on the Platform, including but not limited to course videos, text, images, graphics, quizzes, assignments, frameworks, methodologies, and downloadable materials, is the exclusive intellectual property of Azael Haward Kyando or its licensors and is protected by international copyright, trademark, and other intellectual property laws.

6.2 Limited Licence

Upon enrolment and for the duration of your access, we grant you a limited, non-exclusive, non-transferable, revocable licence to:

  • Access and view course materials for your personal, non-commercial educational use.
  • Download resources explicitly made available for download, solely for personal study purposes.

This licence does not include the right to:

  • Reproduce, distribute, publicly display, or publicly perform any Content.
  • Modify, adapt, translate, or create derivative works from any Content.
  • Record, capture, or screenshot course videos or audio for redistribution.
  • Use Content for commercial purposes, including teaching, training, or selling to third parties.
  • Remove, alter, or obscure any copyright, trademark, or other proprietary notices.
  • Share, resell, or provide access to your Account or course materials to any third party.

6.3 Course Materials and Downloads

Downloadable resources (templates, worksheets, guides) are provided for your personal use in applying course concepts. You may not redistribute, resell, or claim these materials as your own work.

7. Payments and Pricing

7.1 Pricing

All course prices are displayed in the applicable currency (typically Tanzanian Shillings - TZS) and are inclusive of applicable taxes unless otherwise stated. Prices are subject to change without notice, but price changes will not affect enrolments already completed.

7.2 Payment Methods

We accept payments through the following methods, as displayed at checkout:

  • Mobile Money (M-Pesa, TigoPesa, Airtel Money)
  • Bank Transfer
  • Cash payment (subject to prior arrangement)

7.3 Payment Processing

Payments are processed manually and require verification by our team. Your enrolment will be confirmed within 24-48 hours of payment verification. You will receive email confirmation once your enrolment is active.

7.4 Payment Currency

All transactions are processed in Tanzanian Shillings (TZS). If you are paying from outside Tanzania, your bank or mobile money provider may apply currency conversion fees, which are your responsibility.

7.5 Refund Policy

We want you to be satisfied with your learning experience. Refunds are handled as follows:

  • Full refund: If requested within 7 days of enrolment and before 20% of course content has been accessed, you are entitled to a full refund.
  • Partial refund: If requested within 14 days of enrolment and before 40% of course content has been accessed, a 50% refund may be granted at our discretion.
  • No refund: Refund requests made after 14 days of enrolment, or after 40% of course content has been accessed, will not be eligible for a refund.
  • Cohort-based courses: Refund requests for cohort-based courses must be made at least 7 days before the cohort start date. No refunds are available once the cohort has commenced.

To request a refund, contact us at learn@azaelhaward.com with your name, email, course name, and reason for the refund request. Refunds are processed to the original payment method within 14 business days of approval.

7.6 Payment Verification and Disputes

If payment verification fails or a payment dispute is initiated, your enrolment may be suspended pending resolution. Fraudulent payment claims may result in permanent account termination.

8. Certificates

8.1 Issuance

A Certificate of Completion is issued upon successfully completing all required course modules, assessments, and meeting the minimum completion percentage as specified in the course details. Certificates are issued digitally and can be accessed from your Dashboard.

8.2 Verification

Each certificate includes a unique verification number and a verification URL. Third parties can verify the authenticity of a certificate by visiting the verification link or entering the certificate number on our platform.

8.3 Accuracy

You are responsible for ensuring that the name and details on your certificate are correct at the time of issuance. Name changes after issuance may be subject to an administrative fee.

8.4 Revocation

We reserve the right to revoke a Certificate if:

  • It is determined that the course requirements were not genuinely completed by the enrollee.
  • The certificate was obtained through fraud, cheating, or academic dishonesty.
  • The enrolment was obtained through fraudulent payment.
  • The Account is terminated for violation of these Terms.

8.5 Recognition

Certificates issued by Azael Haward Academy demonstrate completion of a professional development course. They are not accredited academic degrees and should not be represented as such. Recognition by employers, institutions, or professional bodies is at their sole discretion.

9. User Conduct

9.1 Acceptable Use

You agree to use the Services only for lawful purposes and in accordance with these Terms. You shall not:

  • Use the Platform in any way that violates any applicable law or regulation.
  • Impersonate any person or entity, or falsely state or misrepresent your affiliation.
  • Interfere with, disrupt, or attempt to gain unauthorised access to the Platform or its related systems.
  • Introduce malware, viruses, or any malicious code.
  • Circumvent, disable, or interfere with security features of the Platform.
  • Use automated systems (bots, scrapers) to access or collect Content from the Platform.
  • Upload or transmit content that is defamatory, obscene, offensive, or infringes on others' rights.
  • Attempt to access other Users' Accounts without authorisation.

9.2 Academic Integrity

You agree to complete all assessments, quizzes, and assignments honestly and without assistance from others unless explicitly permitted. The following are strictly prohibited:

  • Sharing quiz or assessment answers with other students or on external platforms.
  • Circumventing assessment anti-cheating measures.
  • Submitting work completed by someone other than yourself.
  • Recording or distributing course content (videos, materials) to unauthorised parties.

10. Reviews and Testimonials

If you submit a review, testimonial, or feedback ("Submission"), you grant us a non-exclusive, royalty-free, perpetual, irrevocable, and fully sublicensable right to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such Submission in any media, worldwide, without compensation to you.

You represent and warrant that:

  • Your Submission is original and does not infringe on any third party's rights.
  • Your Submission is accurate and reflects your genuine experience.
  • You are at least 16 years of age.

11. Limitation of Liability

11.1 "As Is" and "As Available"

The Services are provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

11.2 No Guarantee of Results

While we strive to provide high-quality educational content, we make no guarantees regarding:

  • Specific learning outcomes, career advancement, or professional results.
  • Uninterrupted, error-free, or secure operation of the Platform.
  • The accuracy, completeness, or reliability of any Content.
  • The compatibility of the Platform with your devices or systems.

11.3 Limitation of Damages

To the maximum extent permitted by applicable law, Azael Haward Kyando and Azael Haward Academy shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

  • Loss of profits, data, use, goodwill, or other intangible losses.
  • Damages resulting from your access to or use of (or inability to access or use) the Services.
  • Damages resulting from any content obtained from the Services.
  • Damages resulting from unauthorised access to or alteration of your data or transmissions.

11.4 Maximum Liability

To the maximum extent permitted by law, our total aggregate liability to you for all claims arising from or relating to the Services shall not exceed the total amount you paid to us for the specific course giving rise to the claim during the twelve (12) months preceding the event giving rise to the liability.

12. Indemnification

You agree to indemnify, defend, and hold harmless Azael Haward Kyando, Azael Haward Academy, and their officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or relating to:

  • Your use of the Services.
  • Your violation of these Terms.
  • Your violation of any rights of a third party.
  • Any content you submit, post, or transmit through the Services.

13. Termination

13.1 By You

You may terminate your Account at any time by contacting us at learn@azaelhaward.com. Termination does not entitle you to a refund unless you meet the refund criteria in Section 7.5.

13.2 By Us

We may suspend or terminate your Account and access to the Services immediately, without prior notice, for conduct that we determine, in our sole discretion, violates these Terms or is harmful to other Users, us, or third parties, or for any other reason.

13.3 Effect of Termination

Upon termination:

  • Your right to access the Services ceases immediately.
  • All licences granted under these Terms terminate.
  • We may delete your Account and associated data in accordance with our Privacy Policy.
  • Sections that by their nature should survive termination will survive, including intellectual property, limitation of liability, indemnification, and dispute resolution.

14. Dispute Resolution

14.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United Republic of Tanzania, without regard to its conflict of law provisions.

14.2 Informal Resolution

Before filing any formal legal action, you agree to first contact us at learn@azaelhaward.com and attempt to resolve the dispute informally for a period of at least thirty (30) days.

14.3 Jurisdiction

Any disputes that cannot be resolved informally shall be subject to the exclusive jurisdiction of the courts of the United Republic of Tanzania. You consent to the personal jurisdiction of such courts.

15. Modifications to the Services

We reserve the right to modify, suspend, or discontinue any part of the Services at any time, with or without notice. We will not be liable for any modification, suspension, or discontinuation of the Services. We will make reasonable efforts to provide notice of material changes, but are not obligated to do so.

16. Third-Party Links and Services

The Platform may contain links to third-party websites, services, or content that are not owned or controlled by Azael Haward Academy. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party sites or services. You acknowledge and agree that we shall not be responsible or liable, directly or indirectly, for any damage or loss caused by your use of any such third-party content, goods, or services.

17. Force Majeure

We shall not be liable for any failure or delay in performance of our obligations under these Terms due to circumstances beyond our reasonable control, including but not limited to natural disasters, pandemics, government actions, power outages, internet service disruptions, or other force majeure events.

18. General Provisions

  • Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Azael Haward Academy regarding the Services, and supersede all prior agreements and understandings.
  • Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
  • Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
  • Assignment: You may not assign or transfer these Terms, by operation of law or otherwise, without our prior written consent. We may assign or transfer these Terms without restriction.
  • Notices: We may send you notices via email, through the Platform, or by any other reasonable means. You may send notices to us at learn@azaelhaward.com.
  • Language: These Terms are drafted in English. In the event of any conflict between the English version and any translated version, the English version shall prevail.
